Sector: Hospitality, real estate and international investment
Vaayu Global advised on the commercial structure for offshore investment into a boutique hospitality development in Indonesia.
The project required more than a conventional financing recommendation. The proposed structure needed to consider the appropriate combination of debt and equity, investor return expectations, sponsor control, governance, reporting, ownership considerations and the sequence in which the transaction should be progressed.
Vaayu Global compared debt, equity and hybrid financing routes and examined the implications of each option for repayment obligations, investor economics, control, governance and exit. The work also considered the possible role of international holding or investment vehicles and identified the legal, tax and regulatory questions requiring specialist confirmation.
The engagement produced a comparative transaction framework, capital-structure alternatives, initial governance principles, an investor-economics assessment and a sequenced implementation roadmap.
